Establishment of an enterprise in Austria

The most common form of enterprise is a limited liability company (called GmbH). The minimum share capital of GmbH is EUR 35,000, and at least 50 % of the amount, that is EUR 17,500, should be paid on the setting up of the enterprise. However, there is a possibility of the so-called privileged establishment of a company with the share capital in the amount of EUR 10,000, while it is sufficient to pay the amount of EUR 5,000 on the setting up of the company. Within 10 years after establishment of the company, you should increase the share capital to reach the legal minimum, which is EUR 35,000.

If you have had a foreign company in Austria for over a year and if your business activity is focused on the Austrian market in a long term, you are obliged to found a legal entity in Austria according to the Austrian law. The entity may be a limited liability company or another legal entity. Failure to comply with this obligation may result in sanctions imposed by Austrian offices.
